1. Parties
This Vendor Agreement ("Agreement") is between:
- Surfed, a digital marketplace platform ("Platform"), and
- The individual or business registering as a seller ("Vendor", "you", "your").
By registering as a vendor, you agree to be bound by this Agreement and Surfed's Terms & Conditions.
2. Platform Role
Surfed operates as an online marketplace facilitator. Surfed does not:
- Own or sell listed items (unless explicitly stated)
- Act as a buyer or seller in transactions
- Guarantee sales, pricing, or outcomes
All transactions occur directly between Vendors and Buyers.
3. Vendor Eligibility
To use Surfed as a Vendor, you confirm that:
- You are legally able to enter into binding agreements
- You are the rightful owner or authorised seller of listed goods/services
- All information provided is accurate and complete
- You comply with all applicable laws and regulations in New Zealand
Surfed may approve, reject, or revoke Vendor access at its discretion.
4. Listings and Content Standards
Vendors agree to:
- Provide accurate and truthful listing descriptions
- Use genuine images of listed products
- Maintain correct pricing and availability
- Ensure listings comply with Surfed platform policies
Surfed may edit, remove, or restrict listings that violate these standards.
5. Vendor Responsibilities
Vendors are solely responsible for:
- Product quality, condition, and accuracy of description
- Fulfilment of transactions (pickup, shipping, delivery)
- Communication with buyers
- Handling returns, refunds, or disputes directly with buyers
- Ensuring compliance with consumer law and fair trading regulations
6. Subscriptions and Fees
Surfed may offer paid Vendor subscription plans including (but not limited to):
- Free Vendor accounts
- Pro Vendor accounts
- Premium Vendor accounts
Subscription tiers may include features such as increased listing capacity, enhanced search ranking, featured placement in feeds or recommendations, and access to analytics and performance insights.
Important:
- Subscription fees relate to platform visibility and access tools only
- Surfed does not guarantee sales or traffic levels
- Fees are non-refundable unless required by law
7. Featured Listings and Promotions
Vendors may purchase additional promotional services such as featured listings, boosted visibility, homepage placement, and surf-condition-based recommendations (where available).
These services:
- Do not guarantee sales
- Are time-limited unless otherwise stated
- Operate on a visibility ranking system determined by Surfed
8. Pricing and Transactions
Vendors are free to set their own pricing unless otherwise restricted by law or platform policy. All transactions occur directly between Vendor and Buyer, are the Vendor's responsibility to fulfil, and must comply with applicable consumer and fair trading laws.
Surfed is not responsible for payment disputes, chargebacks, or fraud between users.
9. Performance Ranking and Algorithmic Exposure
Vendor listings may be ranked using Surfed's internal systems, which may consider:
- Subscription tier
- Listing quality and completeness
- User engagement (views, clicks, saves)
- Relevance to surf conditions and user behaviour
- Geographic and seasonal demand
Surfed reserves full discretion over ranking systems and may modify algorithms at any time.
10. Prohibited Conduct
Vendors must not:
- Post false, misleading, or fraudulent listings
- Attempt to manipulate rankings or engagement systems
- List illegal, unsafe, or prohibited goods
- Harass or abuse users
- Circumvent platform fees or systems
Violation may result in suspension or permanent removal.
11. Data and Analytics
Surfed may provide Vendors with performance data such as listing views, engagement metrics, buyer interactions, and general market trends. This data remains the property of Surfed and is provided for informational purposes only.
12. Suspension and Termination
Surfed may suspend or terminate Vendor access at any time for:
- Breach of this Agreement
- Fraudulent or misleading activity
- Harm to platform integrity or users
- Legal or regulatory requirements
Vendors may also close their account at any time.
13. Limitation of Liability
To the fullest extent permitted by law:
- Surfed is not liable for losses arising from transactions between users
- Surfed does not guarantee sales, exposure, or platform performance outcomes
- Surfed is not responsible for disputes between Vendors and Buyers
- Use of the platform is at the Vendor's own risk
14. Independent Relationship
Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship between Surfed and Vendors. Vendors operate as independent users of the platform.
15. Amendments
Surfed may update this Agreement from time to time. Continued use of the platform constitutes acceptance of any updated terms.
16. Governing Law
This Agreement is governed by the laws of New Zealand.
